Service.

1. Agreement

Pretty Good Stuff LLC is a Florida limited liability company ("Pretty Good Stuff", "we", "us", "our"). By using prettygoodstuff.co or engaging us for prep, inspection, freight coordination or sourcing services, you ("Client") agree to these Terms. A signed quote or order confirmation may add specific terms; if it conflicts with these Terms, the signed document controls.

2. Services

We provide the following services from our facility in China:

• → Receiving goods from your suppliers and counting them against the purchase order or packing list you provide
• → Unit inspection of every product received (see Section 4)
• → Amazon FBA prep: FNSKU labeling, polybagging with required warnings, bubble wrap, bundling, carton labeling and shipment-plan preparation
• → Freight coordination to Amazon fulfillment centers or a US third-party logistics (3PL) location you designate
• → China product sourcing and supplier management

3. Pricing and quotes

• → Prep is charged per unit at the rates published on our website or in your written quote at the time goods are received.
• → Freight is billed at the forwarder's actual cost plus a flat coordination fee stated in your quote. We do not mark up freight.
• → Customs duties, tariffs, taxes and government fees are your responsibility and are billed at cost.
• → Sourcing fees are as stated in your sourcing quote (per product, percentage of order value, or monthly).
• → We may change published rates with 30 days' notice. Orders already received are billed at the rates in effect when they arrived.

4. Receiving and inspection

• → You must give us the expected SKUs, quantities and any product specifications before goods arrive. We report shortages, overages and visible carton damage after receiving.
• → Our inspection is a visual and basic functional check of every unit against the specifications you provide. It is not laboratory testing, safety or compliance certification, and it cannot detect latent defects that are not reasonably visible on inspection.
• → Defective units are photographed and reported to you. You decide whether they are returned to the supplier or discarded. Local return shipping to the supplier is billed at cost.
• → If you do not give instructions on defective units within 14 days of our report, they are held under Section 6.
• → Inspection reduces risk but does not guarantee that Amazon or your customers will not find defects.

5. Payment

• → Invoices are issued in US dollars by Pretty Good Stuff LLC. Prep, inspection and sourcing fees are payable through Stripe by US bank transfer (ACH) or card.
• → Freight, duties and other pass-through costs are payable by ACH or bank transfer only.
• → Credit card payments may carry a surcharge of up to 3% where permitted by law. Any surcharge is shown on the invoice before you pay.
• → Unless your quote says otherwise, prep and freight charges are due before goods are released for shipment. Sourcing fees are due as stated in the sourcing quote.
• → We may hold goods until overdue invoices are paid.
• → Please raise any billing dispute with us in writing within 14 days of the invoice date, before disputing a charge with your card issuer or bank.

6. Holding period

• → We do not provide storage. Each order includes 14 days of free holding from the day the full order is received, to cover inspection, your approvals and freight booking.
• → After 14 days, holding is charged at $1.00 per cubic meter per day. Days on which we are the cause of the delay are not charged.
• → If goods remain more than 60 days after receipt, we may, after 14 days' written notice, return them to the supplier or dispose of them at your cost.

7. Shipping, customs and Amazon

• → We arrange freight as your agent through licensed third-party freight forwarders and carriers. You are the shipper and importer of record unless we agree otherwise in writing.
• → Risk of loss passes to the carrier when goods are handed over to it. Claims for loss or damage in transit are made against the carrier or its insurer; we will help you file them.
• → You are responsible for your Amazon seller account, shipment plans you approve, product compliance, and the accuracy of product data and labels you supply.
• → Amazon fees, placement decisions, receiving delays, and Amazon's handling of your inventory are outside our control.

8. Your responsibilities

• → Send only lawful goods that you have the right to sell. Disclose any hazardous materials, batteries, liquids, magnets or other regulated items before they ship to us.
• → Provide accurate information and respond to requests for decisions in a reasonable time.
• → Comply with Amazon's policies and with the import laws of the destination country.

9. Liability and insurance

While goods are in our facility, we are responsible for loss or damage caused by our negligence. Our liability for any lost or damaged unit is limited to the documented supplier (FOB) cost of that unit, and our total liability for any claim is limited to the fees you paid us for the order concerned. We are not liable for indirect or consequential losses, including lost profits, lost sales, or Amazon account actions.

We recommend that you insure your goods, including cargo insurance for transit.

10. Confidentiality

Each party will keep confidential the other's non-public business information, including pricing, suppliers, product data and account performance. This obligation survives the end of our relationship.

11. Intellectual property

Website content belongs to Pretty Good Stuff LLC. Your product data, photos we take of your goods, and reports we produce for you are yours to use. With your approval, we may reference our work for you as a case study.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States. The parties will first try to resolve any dispute in good faith. If a dispute is not resolved within 30 days, it will be brought in the state or federal courts located in Florida.

13. Changes to these Terms

We may update these Terms. The version in effect when an order is received applies to that order.
